Welcome to Guangzhou UGLYPEAR DATA Technology Co., Ltd. ("we", "us", or "the Company") and the UGLYPEAR AI website (uglypear.com) together with the SmartSlim, Maggie File, and RAG data-engineering products and services (collectively, the "Service"). Accessing or using the Service means you agree to the terms below.

1. Acceptance of terms

Accessing or using the Service constitutes acceptance of these terms. If you do not agree, please do not use the Service.

2. Products & license

Software products (SmartSlim editions, Maggie File, SDK / API) are provided under a subscription license; the scope, number of endpoints, and validity are defined by the plan you purchase.
Private-deployment licenses are authorized to run within the intranet environment you designate.

3. Accounts & responsibility

You are responsible for safeguarding your account and license credentials; usage resulting from leaked credentials is your responsibility. You agree not to decompile, circumvent the license mechanism, or use the Service beyond the authorized scope.

4. Payment & billing

Payments are collected through third-party platforms such as Creem (merchant of record); prices are as shown at checkout, and currency and tax depend on your region.
Subscriptions renew automatically; you may cancel at any time via the Creem customer portal or within the product.

5. Refunds

Digital products are generally non-refundable once activated; if a product defect prevents the agreed use, please contact support@uglypear.comto resolve the issue.

6. Acceptable use

You may not use the Service for unlawful, infringing, malicious, or security-circumvention activities.

7. Intellectual property

The Service, its software, documentation, and brands (UGLYPEAR AI, UGLYPEAR DATA, SmartSlim, Maggie File, UGLYPEAR) are owned by the Company and protected by copyright and trademark law.

8. Disclaimers & limitation of liability

The Service is provided "as is". To the maximum extent permitted by applicable law, the Company is not liable for indirect, incidental, or consequential damages, and total liability shall not exceed the fees you paid in the preceding billing cycle.

9. Changes & termination

We may modify or suspend the Service for maintenance, upgrades, or compliance, and will endeavor to give advance notice; we may terminate a license in case of material breach.

10. Governing law & disputes

These terms are governed by the laws of the People's Republic of China. Disputes should first be resolved through friendly negotiation; failing that, they shall be submitted to the competent court in the Company's location.
